These Terms of Service (“Terms”) are a binding agreement between The Fmly Group, LLC, doing business as “Fried” (“Fried,” “we,” “us,” or “our”), and the business that registers for or uses the Service (“Customer,” “you,” or “your”). By creating an account or using the Service, you agree to these Terms. If you are accepting on behalf of a business, you represent that you are authorized to bind that business.
The Service is offered in the United States only and is intended for business use.
1. The Service
Fried is a restaurant-intelligence service that connects to your supported point-of-sale (“POS”) system via a secure connection (OAuth or credential entry, depending on your POS), computes analytics from your business data, and delivers insights through a daily/weekly email (“Morning Char”) and a web dashboard. We may add, modify, or remove features over time.
The Service is provided on an “as is” and “as available” basis, and its features may change over time. See Sections 9 (Warranties) and 11 (Term and Termination).
2. Accounts
You must provide accurate registration information and keep it current. You may sign in using email credentials or Google sign-in (OAuth). You are responsible for safeguarding your account credentials and for all activity under your account. Notify us promptly at [email protected] of any unauthorized use. You may only connect POS accounts that you own or are authorized to control (see the Acceptable Use Policy).
3. Subscription, Billing, and Auto-Renewal
3.1 Pricing
The Service is priced at $50 per month, per connected location, billed through Stripe.
3.2 14-Day Free Trial
New accounts begin with a 14-day free trial. You provide a payment method when you start the trial, but your payment method is not charged during the trial. At the end of the 14-day trial, unless you cancel before it ends, your subscription automatically begins and your payment method is charged the then-current fee ($50/month per connected location) through Stripe, and then renews monthly as described in Section 3.3. We disclose the trial terms and the date of your first charge when you start the trial.
3.3 Auto-Renewal Disclosure
Once your free trial converts to a paid subscription, your subscription is a monthly, automatically renewing subscription. Your subscription will automatically renew each month, and the then-current per-location fee ($50/month per location unless changed with notice) will be charged to your payment method through Stripe at the start of each renewal term, until you cancel. No further action is required on your part for the subscription to continue.
3.4 Cancellation
You may cancel at any time from the billing section of your account settings (which opens our payment processor's secure billing portal) or by contacting [email protected]. Cancellation stops future renewals and takes effect at the end of your current paid month. You keep full access to the Service for the remainder of that month, and you will not be charged again after it ends. We aim to make cancellation at least as easy as signing up.
3.5 Refunds
Except where required by law, fees are non-refundable, and we do not prorate or refund partial months. When you cancel, you are not billed for the following month, but the current month is not refunded — you keep access for the remainder of the month you have already paid for.
3.6 Taxes and Payment
You are responsible for applicable taxes. If a charge fails, we may suspend the Service until payment is resolved. Stripe processes all card data; Fried does not store full card numbers.
4. Acceptable Use
Your use of the Service is subject to our Acceptable Use Policy (“AUP”), which is incorporated into these Terms by reference. Violating the AUP may result in suspension or termination. See the AUP at /legal/acceptable-use.
5. Customer Data and Licenses
5.1 Ownership
As between the parties, you own your Customer Data— the data we receive from your connected POS system and the information you submit to the Service. We claim no ownership of it.
5.2 License to Operate the Service
You grant Fried a limited, non-exclusive license to access, host, process, transmit, and display your Customer Data solely as needed to provide, secure, support, and maintain the Service for you.
5.3 License to Use Aggregated / De-identified Data
You also grant Fried a license to create and use aggregated and/or de-identified data derived from Customer Data to operate, analyze, benchmark, and improve the Service. Such data will not identify you, your business, or any individual, and we will not attempt to re-identify it.
5.4 AI Processing
Portions of Customer Data — computed metrics, summary figures, your top-selling menu items, and your restaurant's name for context — may be processed by our AI sub-processor (Anthropic) to generate narrative insights. We do not send individual customer records or staff personal information to Anthropic, and Anthropic does not use our data to train its models, as described in the Privacy Policy.
5.5 Data Processing Addendum
Our processing of personal information on your behalf is governed by our Data Processing Addendum (available at getfried.co/legal/dpa), which is incorporated into these Terms by reference.
6. No Outcome Guarantee; Informational Only
The Service provides analytics and insights for informational purposes only. Fried reports only figures derived from your own data and does not provide accounting, tax, legal, financial, or other professional advice. We do not guarantee any business result, revenue, cost saving, or other outcome from using the Service. You are solely responsible for the decisions you make based on the insights, and you should independently verify figures before relying on them.
7. Intellectual Property
Fried and its licensors own all rights in the Service, including its software, dashboards, the “Morning Char” product, branding, and underlying technology. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You may not copy, modify, distribute, or create derivative works from the Service except as permitted by these Terms. Any feedback you provide may be used by us without obligation to you.
8. Confidentiality
Each party may receive non-public information from the other. The receiving party will use such information only to perform under these Terms and will protect it with reasonable care. This does not apply to information that is public, independently developed, or rightfully received from a third party, or that must be disclosed by law.
9. Warranties and Disclaimers
The Service is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind. To the fullest extent permitted by law, Fried disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that insights will be accurate or complete.
10. Limitation of Liability and Indemnification
10.1 Limitation of Liability
To the fullest extent permitted by law, Fried will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Service or these Terms. Fried's total aggregate liability for any claim will not exceed the greater of (a) the total fees you paid to Fried in the three (3) months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). Where no fees have yet been paid (for example, during the free trial), the cap is $100.
10.2 Indemnification
You will defend, indemnify, and hold harmless Fried from claims, damages, and costs (including reasonable attorneys' fees) arising from your Customer Data, your connection of POS accounts you do not own or control, your violation of these Terms or the AUP, or your violation of law or the rights of a third party.
11. Term and Termination
These Terms apply while you use the Service. Either party may terminate: you, by canceling and ceasing use; Fried, by notice, including for non-payment, violation of these Terms or the AUP, or if we discontinue the Service. On termination, your right to use the Service ends, and we will delete or de-identify Customer Data in accordance with the Privacy Policy. Sections that by their nature should survive (including Sections 5.3, 6, 7, 8, 9, 10, and 12) survive termination.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in Wyoming.
13. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the “Effective Date” and provide notice through the Service or by email where appropriate. Your continued use after an update means you accept the revised Terms.
14. Miscellaneous
These Terms, together with the Privacy Policy, AUP, and DPA, are the entire agreement between the parties regarding the Service. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
